SIMZY Terms & Conditions

1. DEFINITIONS

Acceptable Use Policy: The policy governing the use of the Services by a Customer whether required by SIMZY or the telecommunications operator of any Network that facilitates access to the Services. The Acceptable Use Policy is described in Clause 6 below.


Account: The mobile telephone account registered or activated by a Customer that SIMZY uses to provide the Services to a Customer and to administer a Customer’s Personal Data.


Agreement: These general terms and conditions, the Acceptable Use Policy and the Charges, including any special offers. An Agreement is deemed made between a Customer and SIMZY when a customer registers or activates an Account, uses our Services, whichever occurs first, and we will provide access to the Network as soon as we can so that provision of the Services can start.


Charges: The tariffs applicable from time to time for the use of the Services, including any connection fees and special offers.


Customer: Any individual that registers or activates an Account with SIMZY. In these general terms and conditions, the Customer is sometimes referred to as “you” or “your”.


Customer Services Department: This is the team that you may contact for any enquiries about the Services. You may contact the Customer Services Department by emailing care@simzy.com


Device: A phone or other device which can send and receive data using an eSIM.


eSIM: The prepaid, pre-activated virtual subscriber identity module (SIM) which is installed on your Device and enables you to access the Network.


Indirect Taxes: Any sales tax, value-added tax, and any similar levies or taxes as may be applicable at the time of sale of the Plan relating to an eSIM.


Network: The national and international telecommunications networks provided by network service providers used by SIMZY to provide the Services to you.


Personal Data: The personal information that you provide to SIMZY or that SIMZY generates, collects, uses, processes and stores about you while providing the Services, including but not limited to your name, date of birth, Traffic Data and Location Data, credit card or debit card details, billing records, copies of emails including your email address, and records of Customer Services Department enquiries made by you.


Plan: A plan with an allowance that you can use with an eSIM for a predefined duration (e.g. 7, 10 or 30 days).


Privacy Policy: The policy that describes how SIMZY generates, collects, uses, processes and stores your Personal Data. The current Privacy Policy is available at https://simzy.com/privacy-policy.


Services: The provision of an eSIM and a Plan enabling you to connect your Device to the internet via the Network. The mobile telephone services that SIMZY provides to you include voice calling, messaging and data services, and the services provided by the Customer Services Department.


Simzy: Simzy is the trading name of Toggle Mobile B.V. with registration number 95880097 and with its registered office located at Paasheuvelweg 20 A, 1105BJ Amsterdam, the Netherland.


2. THE SERVICES

2.1 SIMZY will provide the Services to you using Networks of one or more telecommunications operators. Occasionally any of these Networks may be unavailable or impacted due to maintenance, modifications, upgrades, emergencies or security measures. At these times the Services may be temporarily unavailable, or the quality of the Services may be impacted. These incidents are outside the control of SIMZY.


2.2 Occasionally the quality of the Services provided to you will be impacted by external factors such as congestion on the Network, physical obstructions, geographic or atmospheric conditions. SIMZY does not have any control over these factors and the impact on the Services.


2.3 The Services are subject to the contracts and service quality levels that have been agreed between other national and international telecommunications operators. SIMZY does not have any control over the contracts or service quality levels agreed between these telecommunications operators.


2.4 SIMZY will provide the Services which relates to specific countries. SIMZY reserves the right to restrict the availability of such Services in some jurisdictions.

2.4 For the reasons described above, SIMZY does not warrant or guarantee that the Services will be uninterrupted or error free (in terms of Network availability, quality or coverage) in all locations at all times, or that the Services will be suitable for your specific requirements, or that the Services will be completely secure against unauthorised interception.


2.5 SIMZY will endeavour to keep any disruption to the Services to a minimum; however, SIMZY will not be liable to you for any loss, damage or inconvenience incurred by you as a result of any disruption to the Services for the reasons described above.


3. YOUR USE OF THE SERVICES

3.1 When you purchase a Plan it means that you accept these Terms and Conditions, as well as any updates that we may make from time to time by posting a new or updated version of these Terms and Conditions at https://simzy.com/terms-and-conditions.


3.2 You must at all times comply with these Terms and Conditions (as updated from time to time) and ensure the information you have provided to us is accurate and up to date, including your email address and country of residence.


3.3 You will use the Service in accordance with all applicable laws and regulations of the country in which you are present or ordinarily reside.


3.4 You agree that once you start using the Services you will lose any right to cancel this Agreement under distance selling legislation.


3.5 You understand and agree that:

    • (a) The Services are for Consumer use only;
    • (b) The eSIM does not have a PIN code by default and you are solely responsible for managing access to the eSIM and paying the Charges whether or not use of the eSIM has been authorised by you; and
    • (c) You must not do anything likely to impair, interfere with or damage or cause harm or distress to the Network or the technical infrastructure provided by our suppliers.

3.6 To use the Services you must ensure your Device is compatible. Guidance on how to check compatibility can be found on our FAQ pages: https://simzy.com/faq.


3.7 You may only use the eSIM on one Device at a time. If need to transfer the eSIM to a new Device, please contact Customer Services for a new QR code.


3.8 You will be responsible for the eSIM as soon as it is delivered to you. If your Device is lost, stolen, damaged or destroyed or used without your authority, you must contact SIMZY immediately and cooperate with us during our reasonable security and other checks.


4. ESIM

4.1 The eSIM is sent to you electronically with detailed instructions on installing and activating the eSIM. Activation of the eSIM is your responsibility and, once activated, the eSIM will be ready to use according to the chosen Plan.


4.2 The downloaded eSIM shall continue to remain on your Device after your Plan has been used or expired. You may choose to remove the eSIM via the Device settings at any time, however we recommend that you do not remove the eSIM until your Plan has been consumed or expired. The download of the eSIM and the activation of your Plan may require stable internet connection.


4.3 The eSIM remains the exclusive property of SIMZY or its suppliers. You must retain the eSIM details and not lose them. SIMZY will only replace an eSIM where it is found to be defective. It is your responsibility to promptly inform SIMZY of any loss or theft to your Device, or any fraudulent or improper use of your eSIM.


5. PAYMENT

5.1 You may register and buy the eSIM on SIMZY's website Payment shall be processed by an authorised agent of SIMZY.


5.2. All eSIMs are prepaid and prices are inclusive of any Indirect Tax where applicable, unless specified otherwise. Indirect Tax will be levied on the basis of the location you have purchased the eSIM.


5.3 You may choose to save the payment method during the payment process and under the service provider’s administration, so that for future purchases this information is automatically added without you having to re-enter it. You can delete the payment method information at any time. This payment method information will not be able to be changed; if a change is requested, you will need to delete the previous payment method and introduce the new payment method.


6. ACCEPTABLE USE POLICY

6.1 You agree to use the eSIM in a compatible Device for the purpose of using the Services.


6.2 You agree not to use the eSIM or the Services and not to permit another person to use your eSIM or the Services:

    • (a) Fraudulently, illegally or in breach of any law or statutory duty;
    • (b) For the purpose of making an unsolicited communication or storing and/ or sending (including to our staff) any material which is offensive, abusive, indecent, defamatory, obscene or menacing, a nuisance or a hoax, or which is a breach of privacy, an infringement of copyright, or is otherwise unlawful;
    • (c) To knowingly and deliberately cause annoyance, inconvenience or needless anxiety to another person (including to our staff);
    • (d) To use the Service for permanent roaming (being the use of a eSIM whilst roaming in such a manner that the roaming service effectively replaces a local service; e.g. the usage duration exceeds what is typical for travel-related roaming;
    • (e) In such a way that adversely impact the Services to other SIMZY customers;
    • (f) For any form of automated usage of mobile services, including call forwarding services, onward calling services or calls to telephone numbers which pay a revenue share or resell to others or commercially exploit our Services; and
    • (g) In order to bypass points of interconnect or generate artificial traffic.

6.3 If SIMZY reasonably suspects that:

    • (a) you have failed to comply with any of the provisions of clause 6.2: or
    • (b) you have made fraudulent or unauthorised use of Services or committed telecoms abuse.

SIMZY shall have the right to suspend, partially or fully, your access to the Services and/ or terminate this Agreement without prior notice and with immediate effect. If SIMZY terminates this Agreement for this reason, your eSIM will be deactivated and you will lose any data allowance which has not been used on your Account.


6.4 Upon activation of an eSIM, you may be required to register your Personal Data with SIMZY, such as your name, address, credit card or debit card details. If SIMZY determines that the Personal Data that you provide is false, SIMZY shall have the right to suspend, partially or fully, your access to the Services and/ or terminate this Agreement without prior notice and with immediate effect. If SIMZY terminates this Agreement for this reason, your eSIM will be deactivated and you will lose any data allowance which has not been used on your Account.


6.5 Plans that include unlimited data are intended for personal use only. If usage exceeds what is reasonably expected for personal use, SIMZY reserves the right to restrict services. This clause applies if data usage is more than 10GB per day on a 30-day plan, more than 300GB in total within a 30-day period, or more than 3GB per day on 7-day or 14-day plans. Data coverage and speed may also be subject to the fair use policy of the network service provider, which may vary due to network conditions.


6.6 Plans are not intended for commercial use, resale, or use by groups of individuals.


6.7 SIMZY reserves the right, in its absolute discretion (and without prior notice), to restrict or prevent access to certain websites and services over its Network, including Voice over Internet Protocol (‘VoIP’) services. When we decide to restrict or prevent access under this paragraph, you may receive a message stating that the website or service is “not available.”


6.8 SIMZY shall be entitled to disable usage of the Services in any relevant country if the underlying operator prevents re-sale of the Services in that country, pending new arrangements to resume the Services in that country.


6.9 If required by law, SIMZY shall be entitled to block, at any time, the provision of the Services within the scope defined by law, in particular through blocking or limiting access to the Services.


7. CANCELLATION & TERMINATION

7.1 This Agreement will terminate immediately upon any of the following events occurring:

    • 7.1.1. consumption or expiry of your Plan in accordance with clause 4.2; or
    • 7.1.2. suspension by SIMZY due to you breaching these Terms and Conditions (including any breach of applicable laws); or
    • 7.1.3. if a final order by the relevant governmental authority revoking or denying renewal of the license(s) or permission to operate the network used to provide the Services (or conducting telecommunications activities) granted to the network operator used by SIMZY, or any other license necessary to operate the Services, takes effect.

7.2 Upon termination in accordance with clause 7.1.1 or 7.3, if you do not delete the eSIM immediately from your Device upon consumption or expiry of the Plan, the eSIM shall be provided to you on an “as is” basis without a warranty of any kind. SIMZY shall have no liability to you for such eSIM in accordance with this clause 7.2 until such time that you purchase any further eSIM or Plan from us, at which point these Terms and Conditions shall apply.


7.3 If there is a change in legal status or a decision issued by a court or regulatory body, so that we cannot legally meet our obligations herein, then we reserve the ability to terminate this Agreement.


8. REFUND

8.1 If you are purchasing the eSIM as a consumer, you have the legal right to cancel this Agreement and request a refund within 14 days after the purchase date without giving any reason. By activating the eSIM you waive your right to cancel and request a refund under this clause 8.1. You must inform Simzy of your decision to exercise your right to cancel by sending an email to care@simzy.com within 14 days from the of purchase.


8.2 If you experience issues with your eSIM or it fails to work due to an issue with the network infrastructure in a destination country, you may be entitled to a full or partial refund. For help and support contact care@simzy.com.

9. DATA PROTECTION AND PERSONAL DATA

9.1 Simzy will only generate, collect, use, process and store your Personal Data in accordance with all applicable laws and regulations and as set out in our Privacy Policy, as amended from time to time.


9.2 Simzy has implemented appropriate technical and organisational security measures to protect your Personal Data against accidental or unlawful destruction, accidental loss or alteration, or unauthorised or unlawful storage, processing, access or disclosure.


9.3 By registering or activating an Account with Simzy, you consent to Simzy collecting, processing and sharing Personal Data provided by you or generated in the course of supplying the Services to you, including details of data that you have sent (“Traffic Data”) and the geographic position of your GSM mobile telephone (“Location Data”) for the purpose of:

  • (a) supplying the Services to you, including the administration of your account;
  • (b) Improving our services and managing our networks;
  • (c) providing you with service information, for example about Network faults;
  • (d) the prevention or detection of fraud or for other security matters, including cyber security;
  • (e) market research and profiling your usage and tailoring our services to you, and
  • (f) complying with applicable laws and regulations.

9.4 For Simzy to perform its obligations under this Agreement, Simzy may need to disclose your Personal Data to other companies that will process your Personal Data on behalf of Simzy. These third parties are permitted to use your data only in accordance with our instructions and the law.


9.5 Simzy may also need to transfer your Personal Data to third parties, for example, our suppliers and service providers, in countries outside the European Economic Area. Where the data protection laws of these countries do not provide the same level of data protection as in the UK, we will take steps to ensure your privacy rights are at least as compliant with the requirements of UK law, including requiring appropriate security measures from such third parties, set out in a contract between us, to protect your Personal Data; and monitoring compliance with such security measures for the lifetime of our relationship with such third parties.


9.6 Simzy may use third party software which modifies the advertising content on website pages you choose to view when using our data Services. A persistent cookie is placed on your device which enables our third-party software provider to collect anonymous data for statistical reporting purposes to Simzy. To ensure the privacy of your data, only pseudonymized and/or anonymous data is collected or shared with such third parties and no personally identifiable data is ever shared. Please view our cookie policy for specific guidance on disabling cookies if you do not wish to have your anonymous data used in this way.


9.7 Simzy may from time to time monitor or record communications with the Customer Services Department. This may be done for quality control purposes, to improve the Services, to ensure compliance with governmental, regulatory or enforcement agency requests or to detect fraud.


9.8 Simzy will, subject to the applicable laws and regulations, provide you with a copy of your Personal Data stored by Simzy upon your written request. Simzy may charge a nominal administration fee for providing you with a copy of your Personal Data. It is your responsibility to notify Simzy of any changes to any Personal Data provided by you to Simzy. You may also request that any incorrect information is corrected. Where permitted by the applicable laws and regulations, Simzy will delete Personal Data upon your written request.


9.9 Simzy may contact you by email, SMS, social media channels and other means to let you know about products and services offered by Simzy, other Simzy group companies or selected third parties, including any special offers and promotions, which may interest you. If you do not wish to receive this information or be contacted in this way, you may at any time change your marketing preferences by emailing care@simzy.com.


10. LIABILITY OF SIMZY

10.1 Subject to Clause 10.2, Simzy has no liability to you:

  • (a) for the delivery, performance and use of the Services other than as stated in this Agreement;
  • (b) if we cannot provide the Services to you because of something beyond our reasonable control, including ‘force majeure’ events including acts of God, flood, earthquake, storm, thunderstorm, frost, explosion, fighting, fire, epidemic, war, outbreak of hostilities (whether or not war is declared), riot, strikes or other labour protests, civil or military disturbance, embargo, social conflicts, sabotage, fibre or cable cut, expropriation by governmental authorities, interruptions by regulatory or judicial authorities, interruption or break-down of electricity supply or other acts or events that are outside our reasonable control;
  • (c) for losses that have not resulted naturally from our breach or that we could not have foreseen;
  • (d) for loss of profit, loss of business, costs, expenses or any other form of financial loss;
  • (e) for any loss of income or loss of revenue;
  • (f) for any loss of data in connection with your use of the Services; or
  • (g) for the deletion, loss or corruption of any content transmitted via the Network, unless caused by our negligence.

10.2 Nothing in this Agreement shall exclude or limit Simzy’s liability for death or personal injury to any person resulting from our own negligence or the consequence of wilful misconduct, fraud, gross negligence or any other liability which cannot be excluded or limited by applicable law.


10.3 The liability of Simzy to you under this Agreement shall be limited to a total maximum aggregate amount of £100.00 per claim or series of related claims.


10.4 Without limiting the generality of Clause 10.1, Simzy has no liability to you for the provision, availability or quality of the Services to the extent that:

  • (a) the Services are provided using the roaming network of another telecommunication operator and unavailability or impaired quality of the Services is caused by network unavailability or failure;
  • b) Simzy’s inability to provide the Services results from a decision issued by a court or an administrative body (including a regulatory body);
  • c) Simzy’s inability or limited ability to provide the Services results from applicable laws or is a consequence of the underlying network operator’s compliance with its obligations under applicable laws;
  • d) Simzy’s inability or limited ability to provide the Services results from technical reasons; or
  • e) Simzy’s inability or limited ability to provide the Services, or the impaired quality of the Services results from valid exercise by the underlying network operator of its’ rights or results from applicable laws.

11. CHANGES TO THE AGREEMENT

11.1 Simzy reserves the right to change these terms and conditions for legal or regulatory reasons. We may also need to change these terms and conditions as a result of changes by our Network suppliers or for other technical or commercial reasons, such as changes to our Products and Services. We may also change our Charges or introduce new Charges. Changes to Charges will be reflected in our tariff table from time to time.


11.2 If we make a change, Simzy will give you at least one month’s written notice where we can, or an electronic message to your eSIM. Some changes may give you the right to cancel this Agreement, if we make a change that is not exclusively to your benefit and you choose to cancel the agreement, you may request a refund of any pre-paid sums on long term products.


11.3 Please check our website regularly for any changes. We may also notify you of changes through advertisement in the national media, by email, by post, or by text message or by other reasonable means. We may also place a recorded message on the phone number for our Customer Services Department.


11.4 If you continue to use the Service after the variation of this Agreement commences, you will be deemed to have accepted the variation.


12. INDEMNITY

12.1. You agree to indemnify and keep indemnified Simzy, and its subsidiaries, affiliates, officers, agents, partners, employees, and service providers against all losses, costs, charges, demands, proceedings, damages, actions, expenses and claims howsoever incurred by us as a result of:


12.1.1. a breach by you of these Terms and Conditions; and/or


12.1.2 any other matter arising out of or in connection with any use you may make of the Service otherwise than in accordance with these Terms and Conditions.


13. GOVERNING LAW AND LEGAL COMPLIANCE

13.1 This Agreement is governed by English law and the English courts will have exclusive jurisdiction over any dispute under this Agreement.


13.2 Other applicable mandatory laws of other states may also apply to your use of the eSIM.


13.3 The Service and the Application are not intended for use by any person or entity in any jurisdiction or country where such use would be contrary to relevant law or regulation. Accordingly, persons who choose to access the Service and/ or Application from locations that prohibit such use do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.


14. GENERAL PROVISIONS

14.1 If you have a complaint or query about the Services, you can contact our Customer Services Department by sending an email to care@simzy.com.


14.2 This Agreement represents the entire agreement between Simzy and you in relation to the Services. It takes precedence over all prior agreements (written and oral), and all representations or other communications between Simzy and you.


14.3 No term or condition of this Agreement is enforceable by any third party (a person who is not a party to this Agreement) under the Contracts (Rights of Third Parties) Act, 1999.


14.4 Failure or delay by either Simzy or the Customer to enforce any right under this Agreement shall not prevent Simzy or the Customer (as the case may be) from taking further action.


14.5 Simzy is entitled to assign all of its rights and obligations under this Agreement to a third party.


14.6 If at any time any provision of this Agreement (or part of any provision) is or becomes illegal, invalid or unenforceable but would be legal, valid and enforceable if some part of it was deleted or modified, the provision or part-provision in question shall apply with such deletions or modifications as may be necessary to make the provision legal, valid and enforceable.


14.7 This Agreement is drafted in the English language. In the event that there is a conflict between this English language version of the Agreement and any translated copies of the Agreement, the English version shall prevail.
